Ownership
Formed in 2012 when private equity firm Advent International combined Serta International (1931) and Simmons Bedding Company (1870) into a single entity. Acquired Tuft & Needle in 2018. Filed for Chapter 11 bankruptcy in January 2023 amid pandemic-era debt struggles, emerged from bankruptcy in mid-2023 with reduced debt load and continued Advent ownership. The 2023 restructuring eliminated significant debt and reduced unsecured creditor claims, including the litigation that ensued from a controversial 2020 "uptiering" transaction that subordinated certain lenders.
Why Avoid
PE-owned megacap mattress holding company. Roll-up structure with multiple legacy brand names. Recent Chapter 11 bankruptcy is the standard PE end-game when leverage compounds beyond cash flow capacity.
