Ownership
One of three premium brands owned by Tempur Sealy International (NYSE: TPX). Combined with Sealy and Stearns & Foster following the 2012 merger when Tempur-Pedic acquired Sealy for $1.3B. Tempur Sealy holds roughly one-third of the US mattress market. As of February 5, 2025, Tempur Sealy also owns Mattress Firm, the country's largest mattress retailer (~2,300 stores), making the company the largest vertically-integrated mattress entity in the United States.
Why Avoid
Conglomerate consolidation of three "competing" premium brands under one parent. February 2025 vertical integration with Mattress Firm crystallizes the structural advantage and foreclosure risk that the FTC's 5-0 bipartisan challenge documented and that Judge Charles Eskridge's January 2025 ruling found credible while allowing the merger anyway.
Reversibility
What would change our verdict
Divestiture from Tempur Sealy International. Breakup of the Tempur Sealy / Mattress Firm vertical integration. Structurally improbable under current ownership.
